Terms of Service

Please read these Terms of Service carefully before using Reportly. They govern your access to and use of our platform.

1. Acceptance of Terms

By accessing or using Reportly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Reportly is a cloud-based B2B SaaS platform that enables teams to build, share, and collaborate on data reports and dashboards. Features include a visual query builder, AI-assisted report generation, a drag-and-drop canvas editor, and real-time collaboration tools.

We reserve the right to modify or discontinue any part of the Service at any time, with reasonable notice where possible.

3. Accounts

You must create an account to use Reportly. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information when registering and to keep it up to date. You must be at least 18 years old or have the consent of a legal guardian to use the Service.

4. Subscriptions & Billing

Reportly is offered on a subscription basis. Fees are charged in advance on a monthly or annual cycle depending on your chosen plan. All fees are exclusive of applicable taxes.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — we do not provide refunds for unused time unless required by law. If payment fails, we will notify you and may suspend access until payment is received.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload or transmit malicious code; (c) attempt to gain unauthorised access to the Service or its infrastructure; (d) scrape or harvest data from the Service beyond normal usage; (e) resell or sublicense the Service without our written consent; or (f) use the Service to build a competing product.

We may suspend or terminate accounts that violate these rules without prior notice.

6. Your Content

You retain ownership of all data, reports, and content you create or upload ("Your Content"). By using the Service, you grant Reportly a limited, non-exclusive licence to store, process, and display Your Content solely to operate and improve the Service.

You are solely responsible for Your Content and warrant that it does not infringe the rights of any third party.

7. Intellectual Property

Reportly and its licensors own all intellectual property rights in the Service, including the software, design, trademarks, and documentation. Nothing in these Terms grants you any rights in the Service other than the limited right to use it as described herein.

8. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available or independently developed.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPORTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the Republic of Turkey, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Istanbul, Turkey.

12. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
